How I work. What you can expect.
These terms apply to all assignments by DataFox BI. No vague phrasing that can be turned against you. What's written here is what I do.
Who I am
DataFox BI is a sole proprietorship of Sebastiaan M.J. de Waard, based in Wageningen, the Netherlands.

Applicability
These general terms apply to all quotations, assignments and agreements between DataFox BI and the client, unless agreed otherwise in writing. Any purchasing terms of the client do not apply.
Quotations and formation of agreement
Quotations are valid for 30 days unless stated otherwise. An agreement is formed the moment the client accepts the quotation in writing (including by email), or when work begins at the client's request.
Rates
Rates are exclusive of VAT (21%) unless stated otherwise. My hourly rate and/or project price are recorded in the quotation. Travel costs are charged separately at €0.23 per kilometre for journeys over 30 km one-way, unless agreed otherwise.
I reserve the right to adjust my hourly rate annually. For ongoing assignments, an adjustment only takes effect after written notice with a 30-day term.
Performance of the assignment
I perform the assignment to the best of my insight and ability, in accordance with the standards of good professional practice. The assignment has the character of a best-efforts obligation, not a result obligation, unless explicitly agreed in writing.
I work independently. I am not obliged to follow instructions that materially change the content or scope of the agreed work. If such a change is requested, I discuss it first and we adjust the quotation or planning accordingly.
Cooperation by the client
The client provides all information, access and contacts I reasonably need to perform the assignment, in good time. Any delay or extra cost caused by failure to do so is borne by the client.
Lead time and planning
Indicated lead times are indicative, unless explicitly agreed in writing as a fatal deadline. Exceeding the lead time does not entitle the client to dissolve the agreement or claim damages, unless the overrun is due to gross negligence on my part.
Confidentiality
I treat all business information received in the context of an assignment as confidential. I do not share it with third parties without explicit consent from the client, unless legally required.
For publication of references, case descriptions or screenshots I always ask permission in advance.
Intellectual property
The intellectual property of working methods, methodologies, templates and reusable frameworks I develop remains with me, unless agreed otherwise in writing.
Deliverables made specifically for the assignment (reports, code, architecture designs) transfer to the client upon full payment of all outstanding invoices. Until then I have the right to suspend transfer.
Liability
My liability for direct damage is limited to the amount invoiced for the assignment in question, with a maximum of the amount paid out by my professional liability insurance in the relevant case.
I am not liable for:
- indirect damage, consequential damage or loss of profit;
- damage caused by incorrect or incomplete information provided by the client;
- damage caused by decisions taken on the basis of my advice, where those decisions are the client's.
Payment terms
Invoices must be paid within 14 days of the invoice date, unless agreed otherwise. Exceeding the payment term puts the client in default by operation of law, and I am entitled to charge statutory commercial interest plus reasonable collection costs.
For assignments longer than one month, I invoice monthly for the hours worked or milestones delivered in that period.
Termination and dissolution
Both parties may terminate the assignment with a notice period of 14 calendar days, unless agreed otherwise. On termination by the client, all hours and costs incurred up to the termination date are payable.
I may dissolve the agreement with immediate effect if the client fails to meet their obligations and does not remedy this within 7 days of written notice.
Applicable law and disputes
Dutch law applies to all agreements. Disputes are resolved by mutual consultation in the first instance. Failing that, the District Court of Gelderland, the Netherlands, has jurisdiction.
Changes
Last updated: April 2026. I reserve the right to change these terms. The version in force at the time of agreement remains applicable to that assignment.
